Platform Terms of Service

In these Terms of Service, the following definitions apply:

• "Platform"means the AI-powered SaaS products operated by Srishti Solution under the brand Srishti Digital, including Voice AI and Marketing AI, accessible at srishtidigi.com.
• "Service Provider"means Srishti Solution, an MSME-registered business operating in India (email: [email protected]).
• "Client"means the individual or single registered business entity that has entered into a subscription agreement with the Service Provider and been granted access to the Platform.
• "Authorised User"means the single person within the Client's organisation who has been issued login credentials by the Service Provider.
• "Subscription"means the time-limited, non-exclusive, non-transferable right to use the Platform as granted by the Service Provider.
• "Confidential Information"means any technical, commercial, or operational information relating to the Platform, including but not limited to API architecture, AI model configurations, prompt structures, and pricing.

By logging in, accessing, or using the Platform in any manner, the Client unconditionally accepts these Terms of Service in full. These Terms constitute a legally binding agreement between the Client and the Service Provider under the Indian Contract Act, 1872.

If the Client does not agree to any provision of these Terms, they must immediately cease use of the Platform and notify the Service Provider at [email protected].

Continued use of the Platform after any modification to these Terms constitutes acceptance of the revised Terms.

All intellectual property rights in and to the Platform — including but not limited to software, AI models, workflows, user interface design, branding, and documentation — are and shall remain the sole and exclusive property of Srishti Solution, protected under the Copyright Act, 1957 (India) and applicable international copyright conventions.

AI-generated content or outputs produced by the Platform during the Client's authorised use are provided on an “as-is” basis. The Service Provider does not warrant that such outputs are free from third-party intellectual property claims. The Client is solely responsible for reviewing and ensuring the lawful use of any generated content.

Nothing in these Terms transfers any ownership of intellectual property from the Service Provider to the Client.

The Service Provider handles Client data in accordance with applicable Indian data protection principles under the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 and the Digital Personal Data Protection Act, 2023.

Client data used to configure the Platform (business name, product details, FAQs, etc.) is stored securely on Google Cloud / Firebase infrastructure and is not shared with third parties except as required to operate the service (e.g., xAI for AI inference).

The Client is responsible for the accuracy of all data they provide and for ensuring they have the lawful right to share any customer data that interacts with the Platform.

The Service Provider will use commercially reasonable efforts to maintain Platform availability. However, the Service Provider does not guarantee uninterrupted or error-free operation of the Platform. Scheduled maintenance, third-party API downtime (including AI providers), and force majeure events may cause temporary unavailability.

Technical support is available via WhatsApp and email at [email protected]. The Service Provider will make reasonable efforts to respond within 24–48 business hours.

The Service Provider reserves the right to modify, update, or discontinue any feature of the Platform at any time with reasonable notice where practicable.

The Platform is provided “as is” and “as available” without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy of AI outputs, or non-infringement.

To the maximum extent permitted by applicable law, the Service Provider shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of or inability to use the Platform, including but not limited to loss of profits, loss of data, or business interruption.

The Service Provider’s total aggregate liability under or in connection with these Terms shall not exceed the total subscription fees paid by the Client in the three (3) months immediately preceding the event giving rise to the claim.

These Terms are governed by and construed in accordance with the laws of the Republic of India, including but not limited to:

Any dispute, controversy, or claim arising out of or relating to these Terms shall first be attempted to be resolved amicably through good-faith negotiation within 30 days of written notice. If unresolved, the matter shall be subject to the exclusive jurisdiction of the competent courts in India.
